Terms of Service

1. Who you are contracting with

“DaxHive” is a brand owned by DaxHive HQ Private Limited (India). DaxHive HQ LLC is its US operating partner and the entity that contracts with and invoices customers in the United States.

In these Terms, “DaxHive,” “we,” “us” and “our” refer to DaxHive HQ LLC, the US operating partner and the contracting entity for customers in the United States, formed in Delaware with a registered address at 8 The Green, Suite R, Dover, DE 19901, USA. The DaxHive brand, website and platform are owned by DaxHive HQ Private Limited (CIN U62011KA2026PTC217331), owner of the DaxHive brand, platform and intellectual property, located at Unit 101, Oxford Towers, 139/88 HAL Old Airport Road, H.A.L II Stage, Bangalore – 560008, Karnataka, India. Customers in the United States contract with DaxHive HQ LLC; DaxHive HQ Private Limited is not a party to your service agreement.

2. The services

DaxHive provides “back office as a subscription” — coordinated professional services across software development, bookkeeping & administration, marketing & growth, and tax & compliance, at the plan level you select. Services are delivered as labor and expertise; the specific scope, deliverables and turnaround depend on your plan and what you request through your account.

3. Subscriptions, billing & cancellation

• Plans are billed monthly in advance at the published rate.
• No long-term contract and no setup fee. You may pause or cancel at any time, effective at the end of your current billing period.
• Fees already paid for the current period are non-refundable once work has begun, except where required by law.

4. Costs that are not included (pass-through)

Your subscription covers DaxHive's labor and expertise only. The following third-party costs are your responsibility and are paid by you directly to the relevant provider, in your own accounts:

• Advertising spend. Budgets for Google Ads, Meta/Facebook and any other ad platform. Your plan covers strategy, setup and management — not the ad budget itself. Your ad accounts and spend remain entirely yours.
• Infrastructure & software. Cloud hosting, domains, API/usage fees, third-party SaaS and software licenses for products we build or operate for you. Your plan covers the engineering work, not these usage costs, and we apply no markup.
• Government & filing fees. Any state, federal or regulatory filing fees, and fees charged by licensed tax or legal partners (see Section 5).

5. Tax & compliance

Tax preparation, filing and compliance services are provided through our network of independent, licensed CPA and EA partners. DaxHive coordinates that work and keeps your books tax-ready; DaxHive itself does not provide tax, accounting attestation or legal advice, and is not a licensed CPA or law firm. Any engagement with a licensed partner is subject to that partner's own terms.

6. Your responsibilities

• Provide timely, accurate information and reasonable access to the accounts and tools we need.
• Maintain ownership of and payment for your own platforms, accounts and pass-through costs.
• Use the services lawfully and not for any prohibited or infringing purpose.

7. Intellectual property

Work product we create specifically for you (such as code, content and designs) becomes yours upon full payment for the work, and is delivered to your own repositories and accounts. The DaxHive name, brand, website and underlying platform and methods remain the property of DaxHive HQ Private Limited and may not be copied or reused without permission.

8. Confidentiality

We treat your business information as confidential, use least-privilege access, and will sign a mutual NDA on request.

9. Disclaimers & limitation of liability

The services are provided on a commercially reasonable “as is” basis. To the maximum extent permitted by law, DaxHive HQ LLC's total liability arising out of or relating to the services is limited to the fees you paid to us in the three (3) months preceding the claim, and we are not liable for indirect, incidental or consequential damages. DaxHive HQ Private Limited has no liability to US customers under your service agreement.

10. Governing law

These Terms are governed by the laws of Delaware, USA, and any dispute will be resolved in the courts located there, without regard to conflict-of-laws rules.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with a new effective date; continued use of the services means you accept the updated Terms.
